Strategy Daily Dividends Win 99.3% Approval From Holders
By Azness Team ·
Strategy holders overwhelmingly backed a plan to accrue dividends on four preferred stocks every calendar day. Here's what changes for STRC, STRF, STRK and STRD.
Strategy's preferred stockholders have given near-unanimous backing to a plan that reshapes how often those instruments earn income, with Strategy daily dividends now set to accrue on every calendar day rather than on a limited schedule. Preliminary tallies from the special meeting put support at 99.3% of votes cast, according to Michael Saylor. The measure covers four series — STRF, STRC, STRK and STRD — and shifts the mechanics from occasional record dates to continuous accrual.
What happened with the Strategy daily dividends vote
The proposal was put to holders at a special meeting on October 28, having first surfaced on September 25. Under the approved amendment, each of the four preferred stocks would accrue dividends on weekends and holidays as well as business days, with payment landing on the next business day after each record date.
The rollout happens in two stages. STRC leads the way, with its first daily record date on November 1 and a payment on November 2. The remaining three — STRF, STRK and STRD — would follow with a January 1 record date and a January 4 payment.
The scale of the shift is easiest to see in STRC, which moves from 24 record dates a year to 365. That is a fundamental change to the instrument's plumbing rather than a cosmetic tweak.
One caveat: the change is not yet live. It still depends on Strategy filing amended terms for each stock, and one account of the process also points to board action and final vote certification in a company filing before new payment schedules begin. Holders should treat the approval as a green light, not a completed switch.
Why it matters for preferred holders
Strategy has framed the amendment as a way to tighten the gap between accrual and cash in hand, improve liquidity and market efficiency, and reduce price swings in the preferreds. There is also a knock-on argument for common shareholders: more attractive credit instruments could support the company's ability to raise preferred equity capital.
The calendar mechanics deserve attention. Friday, Saturday and Sunday record dates would be treated as a Friday record date and paid together the following Monday. The Depository Trust Company would roll weekend and holiday record dates back to the prior business day, and Nasdaq would treat that as the ex-dividend date. Anyone trading around these dates needs to understand the new rhythm.
Strategy also said the scheduled dividend rates and total dividend obligations are unchanged. In other words, this is about timing and frequency, not about paying out more.
- STRC: first daily record date November 1, payment November 2
- STRF, STRK, STRD: first record date January 1, payment January 4
- Record dates per year for STRC: moving from 24 to 365
This follows June's approval of semi-monthly payments for STRC, so the direction of travel has been consistent. It also mirrors a competitor: Strive already pays cash dividends on its SATA preferred stock every business day, starting June 16.
Market reaction and the wider Strategy picture
STRC traded at $99.86 on Wednesday, just under its $100 par value — a sign the instrument is doing roughly what it was designed to do, with the company describing STRC as targeting a stable $100 price and a variable yield. For the month ended June 30, 2026, STRC's rate stood at 11.50%.
The backdrop is less tidy. Strategy paused Bitcoin buying last week and spent $204.9 million buying back STRC, a reminder that supporting these instruments costs real capital. The company's treasury stands at 848,517 BTC, acquired for $64.02 billion at an average of $75,446 per Bitcoin, alongside a $4.83 billion cash reserve. With Bitcoin at $80,537.00 right now, down 0.19% over 24 hours on $22.56 billion of volume, the position sits above that average cost.
Strategy has also slowed purchases this year and sold some holdings to fund preferred dividends, interest and buybacks. And on November 11, MSCI will publish its list of companies affected by a finalized rule treating single-asset balance sheets as ineligible for its indexes — a genuine overhang for a Bitcoin treasury firm.
MSTR itself is down near 50% over the past year, though it remains up approaching 1,000% since the Bitcoin buying began in 2020.
What to watch next
The immediate triggers are the amended filings for each series and confirmation of the payment schedules. Until those land, the November 1 date for STRC and the January 1 date for the others remain conditional.
After that, watch two things. First, whether daily accrual actually narrows the discount or premium at which the preferreds trade relative to par — the $99.86 print on STRC is the baseline to compare against. Second, whether the MSCI list on November 11 creates index-related selling pressure, and how Strategy balances buybacks and Bitcoin purchases if it does.
FAQ
What are Strategy daily dividends?
They are a change to four Strategy preferred stocks — STRF, STRC, STRK and STRD — so that dividends accrue on every calendar day, including weekends and holidays, instead of on a limited number of record dates. Payment would be made on the next business day after each record date.
When do the new dividend schedules start?
For STRC, the first daily record date is November 1 with payment on November 2. For STRF, STRK and STRD, the first record date is January 1 with payment on January 4. The change still depends on Strategy filing amended terms for each stock before the new schedules take effect.
Do the total dividends paid change?
No. Strategy said the scheduled dividend rates and total dividend obligations stay the same. The amendment alters how often dividends accrue and when they are paid, not the overall amount owed. For context, STRC's rate for the month ended June 30, 2026 was 11.50%.
